Terms of Service

This Agreement (hereinafter — "Agreement") is concluded between Serhii Shypylov (Sole Proprietor), registered under the laws of Poland (NIP: 5242983865), hereinafter referred to as the "Contractor", and any individual or legal entity accepting the terms of the Agreement by using the Services (hereinafter — "User" or "Client").

1. Definitions​

  1. Services: Work in IT infrastructure, DevOps, web development, and business process automation provided by the Contractor.
  2. Website: Web resources of the Contractor, including 1it.pro, blog.1it.pro, and other subdomains.
  3. Parties: Contractor and User collectively.

2. Subject of the Agreement​

2.1. The Contractor agrees to provide Services in accordance with the User's individual orders, and the User agrees to accept and pay for these Services. 2.2. The specific list of works, deadlines, and costs are fixed in Invoices, Statements of Work (SOW), or separate Appendices, which are an integral part of this Agreement.

3. Rights and Obligations​

The Contractor agrees to​

  • Provide Services with quality and within agreed deadlines.
  • Maintain the confidentiality of User data (within the Privacy Policy).
  • Inform the User about the progress of work upon request.

The User agrees to​

  • Pay issued invoices in a timely manner.
  • Provide access and information necessary for the work (API keys, server access, etc.).
  • Not use the results of the Services for illegal purposes.

4. Cost and Payment Procedure​

4.1. The cost of Services is determined individually or based on current rates (Hourly Rate / Fixed Price). 4.2. Payment is made based on an Invoice. 4.3. Bank commissions and payment system fees (Stripe/PayPal) are paid by the User unless otherwise agreed. 4.4. Payment currency: EUR, USD, PLN, or UAH (as agreed).

5. Intellectual Property​

5.1. Pre-existing Developments: All rights to tools, scripts, methodologies, and code created by the Contractor prior to the cooperation remain with the Contractor. 5.2. New Developments: Exclusive rights to the work results created specifically for the Client under this Agreement are transferred to the Client after full payment for the Services. 5.3. The Contractor has the right to use anonymized project data in their portfolio, provided it does not violate an NDA (Non-Disclosure Agreement).

6. Liability and Limitations​

6.1. The Contractor is not liable for indirect damages, lost profits, or data loss arising through no fault of their own (e.g., hosting provider failures, DDoS attacks). 6.2. The Contractor's total liability for any claims is limited to the amount actually paid by the User for the last 3 (three) months of Service provision. 6.3. The Contractor is not responsible for the operation of third-party services (Telegram API, Google, OpenAI, etc.) integrated into the Client's project.

7. Term and Termination​

7.1. The Agreement enters into force upon acceptance (payment of an invoice or commencement of Service use). 7.2. Either Party may terminate the Agreement by notifying the other party 30 calendar days in advance. 7.3. Termination does not release the Client from the obligation to pay for work actually performed.

8. Governing Law​

8.1. This Agreement is governed by the laws of the Republic of Poland. 8.2. All disputes that cannot be resolved through negotiations shall be considered in the court at the Contractor's place of registration (Poznań, Poland).
